Terms of Service

1. Acceptance of Terms
By accessing or using the KiteMD platform at kitemd.com (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform. These Terms apply to all users, including patients, healthcare providers, business partners, and visitors.
2. Description of Service
KiteMD operates as a technology-enabled Management Services Organization (MSO) that provides a telehealth platform connecting patients with licensed healthcare providers through retail business partners. The Platform facilitates medical intake, subscription billing, secure messaging, and clinical review for wellness services including anti-aging, hair restoration, and weight management.
KiteMD does not itself provide medical services. All clinical decisions are made by independently licensed physicians who use the Platform as a tool for asynchronous patient review.
3. Eligibility
You must be at least 18 years of age and a resident of the United States to use the Platform as a patient. Healthcare providers must hold active, unrestricted medical licenses in the states where they provide services. Business partners must be legally authorized to operate their business in their jurisdiction.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. KiteMD uses passwordless authentication (email OTP, SMS OTP, or Google OAuth). You agree to notify us immediately of any unauthorized use of your account.
Each user is assigned a single role (patient, provider, business partner, or administrator) at account creation. Role changes require administrative action and are logged in our audit system.
5. Patient Terms
As a patient, you agree to provide accurate and complete health information during the intake process. You understand that the information you provide will be reviewed by a licensed physician and that clinical decisions (approval or denial) are at the sole discretion of the reviewing provider.
You understand that KiteMD subscriptions involve a deferred-capture payment model: your payment method is authorized at checkout but not charged until a provider approves your intake. If denied, no charge is made.
6. Provider Terms
Healthcare providers using the Platform agree to maintain active medical licenses in all states where they review patient intakes. Providers are independent contractors, not employees of KiteMD. Providers agree to complete clinical reviews in a timely manner and to document clinical decisions with appropriate notes.
7. Business Partner Terms
Business partners agree to display KiteMD marketing materials in accordance with our brand guidelines. Partners receive a revenue share on active subscriptions attributed to their location. Revenue share percentages are established during onboarding and documented in the partner agreement. Partners shall not make medical claims or provide clinical advice to customers.
8. Billing and Payments
All payments are processed through Stripe. Subscription pricing is set per wellness track and per business partner. Patients may manage their payment methods, view invoices, and cancel subscriptions through the Stripe Customer Portal accessible from their dashboard.
Refunds are handled on a case-by-case basis. If a provider denies an intake, the authorized payment is voided and no charge is made.
9. Intellectual Property
The Platform, including its design, code, content, and branding, is the property of KiteMD, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our written consent.
10. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Platform
- Interfere with or disrupt the Platform's infrastructure
- Submit false or misleading health information
- Share your account credentials with others
- Scrape, crawl, or harvest data from the Platform
- Circumvent any security measures or access controls
11. Limitation of Liability
To the maximum extent permitted by law, KiteMD, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to KiteMD in the twelve months preceding the claim.
12. Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. KiteMD does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. KiteMD does not provide medical advice; all clinical services are provided by independent licensed physicians.
13. Termination
We may suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, intellectual property, and dispute resolution) shall survive.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
15. Changes to Terms
We may update these Terms from time to time. We will notify registered users of material changes via email. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
